Terms of Service
Effective date: 1 October 2024 · Last updated: 30 October 2026
Please read these Terms of Service carefully before engaging Webnix for any web design or development services. By commissioning our services or using our website, you agree to be bound by these terms.
1. Services
Webnix provides web design, web development, e-commerce solutions, and website maintenance services to clients in South Africa and internationally.
The specific scope of services, deliverables, timelines, and pricing for each project will be agreed upon in writing via a project proposal or service agreement before work commences.
Any changes to the agreed scope of work may result in revised timelines and additional costs, which will be communicated and agreed upon before implementation.
2. Payment Terms
A non-refundable deposit of 50% of the total project fee is required before work commences. The remaining balance is due upon project completion and before the final website is handed over or made live.
For ongoing maintenance or retainer services, invoices are issued monthly and are payable within 7 days of the invoice date.
All prices are quoted in South African Rand (ZAR) and are exclusive of VAT unless otherwise stated.
Late payments may result in work being paused until the outstanding balance is settled.
3. Client Responsibilities
The client is responsible for providing all required content (text, images, logos, and other assets) in a timely manner. Delays in providing content may affect project timelines.
The client warrants that all content provided to Webnix does not infringe any third-party intellectual property rights and that they have the right to use such content.
The client is responsible for reviewing and approving all deliverables within the agreed review periods. Failure to provide feedback within the agreed timeframe may result in the project being considered approved.
4. Intellectual Property
Upon receipt of full payment, the client will own the final website design and custom code developed specifically for their project.
Webnix retains the right to use the completed project in its portfolio and for promotional purposes, unless the client requests otherwise in writing.
Third-party assets, plugins, themes, or software incorporated into the project remain subject to their respective licences. Webnix is not responsible for licence fees associated with third-party tools.
5. Revisions and Amendments
Each project includes a defined number of revision rounds as specified in the project proposal. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
Major changes to the design direction or project scope after work has commenced may be treated as a new project and quoted accordingly.
6. Turnaround Times
Estimated timelines are provided in good faith and are dependent on timely receipt of client content and feedback. Webnix will not be held liable for delays caused by the client's failure to provide required materials.
Webnix will communicate any delays on our end as soon as reasonably possible.
7. Limitation of Liability
Webnix's liability to the client for any claim arising out of or in connection with the services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
Webnix shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, loss of data, or loss of business opportunity.
Webnix does not guarantee specific search engine rankings, traffic volumes, or business outcomes resulting from the delivery of our services.
8. Cancellation
Either party may cancel a project by providing written notice. In the event of cancellation by the client, the deposit is non-refundable and any work completed up to the point of cancellation will be invoiced at a pro-rata rate.
In the event of cancellation by Webnix, any fees paid for work not yet commenced will be refunded.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project and not to disclose it to third parties without prior written consent.
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa.
Any disputes arising from these terms shall be subject to the jurisdiction of the courts of South Africa.
